These Terms of Service (“Terms”) are a binding agreement between you (“you”, “Customer”, or “User”)
and AppraisePoint Inc. (“AppraisePoint”, “we”, “us”).
They govern your access to and use of our websites, applications, and services (collectively, the “Service”).
By creating an account, accessing, or using the Service, you agree to these Terms.
If you do not agree, do not use the Service.
1) Who may use the Service
- Authority. If you use the Service on behalf of a company or organization, you represent that you have authority to bind it, and “you” includes that entity.
- Eligibility. You must be able to form a binding contract under applicable law. You may not use the Service where prohibited.
- Business approval. Access to a company workspace requires our review and approval. You must provide accurate identity and business information, keep it current, and provide reasonable supporting information when requested. We may decline applications that do not satisfy our eligibility or verification requirements. Verifying your email, signing in with Google, or selecting a plan does not approve your business or guarantee access.
- No professional endorsement. Our approval permits use of the platform; it is not certification, accreditation, or an endorsement of your qualifications, business, appraisals, or grading conclusions.
- Global use. The Service may be accessed worldwide. You are responsible for ensuring your use (including your Outputs) complies with laws and professional standards applicable to you and your clients.
2) The Service (what we provide)
AppraisePoint provides tools to create, manage, store, and export professional documentation and workflows, including (without limitation) jewelry appraisals, grading reports, certificates, client records, item data, pricing inputs, media uploads, and related outputs (the “Outputs”).
- No professional substitution. The Service is a software platform. You remain solely responsible for professional judgment, methodology, accuracy,
compliance with standards, and the content of appraisals/gradings you perform.
- Feature changes. We may add, remove, or modify features, and we may provide beta/preview features. Beta features are offered “as is” and may change or be discontinued.
3) Workspaces, roles, invites, and account security
- Workspace / company tenant. The Service is typically used through a company workspace (tenant). Users within a workspace may have different permissions based on role.
-
Roles and permissions. The Service may support multiple roles, including administrative and non-administrative roles (for example:
System Administrator, Jeweller Manager, Jeweller Appraiser, Jeweller Editor, Jeweller Trainee, and Customer). Permissions vary by role and may change over time.
- Admins control access. Workspace administrators (e.g., a “Jeweller Manager”) can invite users, assign or change roles, remove users, and manage workspace settings.
- Staff allowances. Each plan limits active internal staff accounts, including administrators. Customer portal users do not count toward this staff allowance. If a plan change leaves your workspace above its allowance, an administrator must select the staff who will retain access; workspace functions may be restricted until that selection is completed. Removing staff access does not itself delete your workspace records.
- Responsibility for invited users. You are responsible for all activity under your workspace, including actions of users you invite or authorize. Ensure each user only receives access appropriate for their responsibilities.
- Customer users. If your workspace enables a “Customer” user type (for example, an end client with limited access), you are responsible for obtaining all required consents and providing any legally required notices to those customers.
- Credentials. Each individual must use their own account and keep credentials confidential. Do not share logins to bypass staff allowances or access restrictions. Notify us promptly at support@appraisepoint.com of any suspected unauthorized use.
4) Customer Content, outputs, and data processing
“Customer Content” means all data, text, images, files, records, item details, client details, templates, and other materials submitted to or generated within the Service by you or on your behalf,
including appraisal/grading records and any media uploaded.
- Ownership. As between you and AppraisePoint, you retain ownership of your Customer Content.
- License to operate. You grant AppraisePoint a non-exclusive, worldwide license to host, store, reproduce, transmit, display, and otherwise process Customer Content solely to provide, maintain, secure, and improve the Service, comply with law, and enforce these Terms.
- Responsibility and permissions. You represent that you have all rights and permissions needed to upload and process Customer Content, including any required client consents (especially for personal information and images).
- Review before delivery. You must review all Outputs before delivering them to clients or third parties. Outputs reflect your inputs and configuration.
5) Data residency and cross-border access
- Primary storage (Canada). By default, Customer Content is stored in Canada.
-
Future regions. We may offer additional data hosting regions (including the United States) in the future.
If we do, we will provide notice through the Service, your account, or email as appropriate.
-
Access from other countries. Even when data is stored in Canada, it may be accessed by you and your authorized users from other countries,
and may be processed or transmitted across borders to operate the Service, including through payment, email, AI, document recognition, transcription, and other providers. Canadian primary storage does not mean that all processing or provider storage occurs only in Canada. See our Privacy Policy for further information and how to request details about service providers.
6) Acceptable use
You agree not to misuse the Service. For example, you will not:
- Use the Service to violate laws, regulations, or third-party rights (including privacy, IP, consumer protection, and anti-fraud laws).
- Upload unlawful, infringing, defamatory, or malicious content, or content containing viruses/malware.
- Attempt to gain unauthorized access to accounts, systems, or data; probe, scan, or test vulnerabilities without authorization.
- Reverse engineer, decompile, or attempt to extract source code except to the extent allowed by law (and then only after notifying us).
- Interfere with or disrupt the Service, including rate-limiting evasion or abusive automated scraping.
- Use the Service to harvest data to create competing datasets or products where prohibited by law or contract.
- Misrepresent your identity, business, affiliation, or intended use to obtain approval or access, including obtaining access under false pretences to collect non-public product information.
- Create or use duplicate accounts or workspaces to evade approval, suspension, staff limits, or usage allowances, or give an unapproved person access through your account.
7) Integrations and third-party services
The Service may integrate with or link to third-party services (e.g., payment processors such as Stripe, sign-in providers such as Google, email services, analytics providers, and data providers). Your use of those services is subject to their terms and privacy policies, and AppraisePoint is not responsible for third-party services.
- Payment processing. Payments may be processed by Stripe or other providers. We do not store full payment card details if processed by third parties.
- AI and document processing. Features such as AI assistance, document recognition, and transcription may send relevant text, images, documents, audio, or item information to service providers for processing. Use these features only with information you are authorized to provide. AI-generated suggestions can be incomplete or incorrect and must be reviewed before use in professional work.
- Third-party outages. Third-party disruptions may affect the Service. We are not liable for failures caused by third-party services outside our control.
8) Free access, paid plans, usage, and billing
See our pricing page for current published plans and compare them with the plan and purchase details shown in your workspace.
- Free access. Approved businesses may use the Free plan without a payment card or a scheduled expiry. Free is not a time-limited trial and does not automatically convert to a paid subscription. Continued access remains subject to these Terms, business approval, and the applicable plan allowances.
- Plan details. The Free plan currently includes three first signatures per calendar month, shared across appraisals and grading, and one active internal staff account. Other plan allowances, features, prices, currencies, and available billing periods are shown on our pricing page and in the Service; paid purchase details are presented at checkout. Report design editing is available to authorized company administrators on all plans. Access does not include a promise of unlimited AI processing or storage.
- What counts. One unit is used when an appraisal or grading record is successfully signed for the first time, whether or not it is later issued. Draft creation, previews, additional items within that record, and downloads do not consume additional signing units. Corrections and re-signing of the same record through the revision workflow do not count again. A renewal or independently duplicated record counts when first signed. Reopening or deleting a record does not restore a used unit.
- Monthly allowance. Signing allowances reset on the first day of each calendar month in the America/Edmonton time zone, including for annually billed plans. Unused units do not roll over. Changing plans does not reset usage already recorded for that month. When your allowance is exhausted, first signatures on additional records require an upgrade or the next monthly reset; reaching the allowance does not automatically create an overage charge.
- Choosing a paid plan. A plan preference submitted during signup records your interest only. A paid subscription requires a separate purchase through checkout. Approval and payment are separate requirements; payment does not bypass business approval.
- Paid auto-renewal. Paid subscriptions renew automatically for the billing period agreed at purchase until canceled. By purchasing a paid subscription, you authorize us and our payment processor to charge your payment method for the agreed fees and applicable taxes at renewal.
- Cancellation and downgrade. Cancel a paid subscription through the billing portal or workspace billing settings. A cancellation scheduled for period end leaves paid access in place until that period ends, then your workspace returns to Free, subject to continued eligibility and any required staff selection. Usage already recorded that month is retained. Cancellation or downgrade does not itself delete customer records or close your account.
- Changes to plans. We may change plans, including Free allowances, features, prices, and resource limits. We will provide advance notice of material changes through the Service or email, including when they take effect, and any further notice required by law. Paid price changes apply no earlier than the next renewal after the notified effective date. Changes to Free do not authorize paid charges without your separate purchase.
- Taxes. Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for taxes and required withholdings.
- Late payments. A payment problem may require billing action. Paid access may continue during an applicable payment grace period. When paid entitlement ends, Free allowances and any required staff selection apply to an otherwise eligible workspace. Cancellation or return to Free does not waive amounts already due.
- Refunds. Fees are generally non-refundable except where required by law or explicitly stated in writing by AppraisePoint.
9) Confidentiality
- Confidential information. Each party may receive confidential information of the other. Confidential information includes non-public business, technical, security, pricing, and product information, and may include Customer Content.
- Protection. You and AppraisePoint will protect the other’s confidential information using reasonable care and will use it only to perform under these Terms.
- Exceptions. Confidentiality does not apply to information that is public through no fault of the receiving party, independently developed, or rightfully received from a third party.
10) Intellectual property
- Our IP. The Service (including software, design, branding, documentation, and underlying technology) is owned by AppraisePoint or its licensors and is protected by IP laws.
- Limited license. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service while you have authorized Free or paid access,
solely for your internal business purposes and in accordance with these Terms.
- Feedback. If you provide suggestions or feedback, you grant us a perpetual, royalty-free right to use it without restriction or obligation.
11) Suspension and termination
- By you. You may stop using the Service at any time. To stop paid renewals, cancel through your billing settings. To request account closure, contact support@appraisepoint.com. Paid cancellation alone does not close the workspace or request deletion of personal information.
- By us. We may suspend or terminate access if you breach these Terms, no longer meet eligibility requirements, create a security risk, or if required by law. We may act immediately where necessary to address abuse, security, or legal requirements. Payment-related changes to plan access are described in section 8.
- Effect of termination. Upon termination, your right to use the Service ends. Provisions that should survive (e.g., IP, confidentiality, limitations, indemnity) will survive.
- Records and deletion requests. Account closure is separate from paid cancellation. Personal information, billing records, security records, and usage accounting are handled according to our Privacy Policy and applicable retention obligations. Closing an account does not guarantee immediate deletion of all records or backup copies.

- Legal compliance. You agree to comply with all laws applicable to your use of the Service, including privacy, consumer protection, and anti-fraud laws.
- Export controls and sanctions. You may not use or export the Service in violation of applicable export control or sanctions laws.
16) Changes to these Terms

(for example, by posting on our website or notifying you in the Service).
